Zed Car Market – Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Zed Car Market website and services (the “Platform”). By registering, accessing or using the Platform, you agree to be bound by these Terms and all applicable Zambian laws and regulations, including but not limited to the Electronic Communications and Transactions Act No. 21 of 2009, the Data Protection Act No. 3 of 2021, and the Cyber Security and Cyber Crimes Act No. 2 of 2021.

1. Definitions

“Zed Car Market”, “we”, “us” or “our” means Zed Car Market Ltd, a company incorporated under the laws of the Republic of Zambia, and its affiliates.
“User”, “you” or “your” means any person or entity who registers for or uses the Platform.
“Content” means any listing, text, image, data, link or other information you upload, post or otherwise make available via the Platform.

2. Acceptance of Terms

By clicking “Accept,” registering an account, or using the Platform in any manner, you confirm that:

You are at least 18 years old and have full capacity to enter into contracts under Zambian law.
You have read, understood, and agree to these Terms.
You will comply with all applicable laws and regulations governing your use of the Platform.

If you do not agree to these Terms, you must immediately discontinue use of the Platform.

3. Changes to the Terms

We may modify these Terms at any time. Changes take effect when we post the revised Terms on the Platform with an updated “Last updated” date. Your continued use after that date constitutes acceptance of the new Terms.

4. Registration & Account Security

Accurate Information: You agree to provide true, accurate, and complete information when registering and to promptly update it if it changes.
Credentials: You are responsible for safeguarding your username and password and for all activities that occur under your account.
Notification: You must notify us immediately of any unauthorized use of your account or any breach of security.

5. User Content & Conduct

Ownership: You retain all rights in your Content. By posting, you grant Zed Car Market a worldwide, non-exclusive, royalty-free license to use, reproduce, modify and display your Content in connection with operating the Platform.
Prohibited Conduct: You agree not to:
- Post fraudulent, misleading, defamatory, obscene or unlawful Content.
- Violate any third-party intellectual property or privacy rights.
- Interfere with or disrupt the integrity or performance of the Platform.
- Use automated means (e.g. bots, scrapers) to access or collect data without prior written consent.

6. Listings & Transactions

Platform Role: Zed Car Market acts solely as a venue for Users to list, buy or sell vehicles and related services. We are not a party to any transaction between Users, and do not guarantee the quality, safety or legality of any vehicle or service listed.
No Warranty: All Listings are provided “as-is” by Users. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

7. Disclaimers & Limitation of Liability

Disclaimer of Warranties: To the fullest extent permitted by law, Zed Car Market disclaims all warranties, including those arising from course of dealing or usage of trade.
Limitation of Liability: Under no circumstances shall Zed Car Market, its officers, directors, employees or agents be liable for any indirect, incidental, special, punitive or consequential damages (including loss of profits, data or goodwill) arising out of or in connection with your use of the Platform, even if advised of the possibility of such damages. Our total aggregate liability for direct damages shall not exceed the total fees you have paid to us in the six (6) months preceding the event giving rise to liability.

8. Indemnification

You agree to indemnify, defend and hold harmless Zed Car Market and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages and expenses (including reasonable legal fees) arising out of or in connection with:

Your breach of these Terms;
Your use of the Platform;
Your Listings, transactions or other Content;
Your violation of any third-party rights or applicable law.

9. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without notice, for any conduct that we, in our sole discretion, believe violates these Terms or is harmful to other Users, third parties or Zed Car Market.

10. Governing Law & Dispute Resolution

These Terms and any disputes arising under them shall be governed by and construed in accordance with the laws of the Republic of Zambia. You agree to submit to the exclusive jurisdiction of the courts of Lusaka for any dispute, claim or action arising out of or relating to these Terms.

11. Miscellaneous

Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement: These Terms constitute the entire agreement between you and Zed Car Market regarding the Platform and supersede all prior agreements.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
